These Terms of Service ("Terms") govern your access to and use of the x12port platform ("Service"), operated by x12port ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
x12port is a cloud-based Electronic Data Interchange (EDI) platform designed for non-pharmaceutical industries including retail, logistics, manufacturing, food & beverage, and automotive. The Service enables businesses ("Clients") and integration specialists ("Developers") to create, manage, and exchange X12 EDI documents and map them to formats such as JSON, XML, and CSV.
x12port is explicitly not designed for or licensed for use in processing Protected Health Information (PHI) subject to HIPAA, pharmaceutical supply chain transactions regulated under DSCSA, or any other federally regulated healthcare data workflow.
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at the contact address below if you suspect unauthorized access to your account. You must be at least 18 years old and authorized to enter into a binding agreement on behalf of any business entity you represent.
Subject to your compliance with these Terms, x12port grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not sublicense, resell, or otherwise transfer your rights to a third party without our written consent.

x12port is a tool. We do not review, validate, or take responsibility for the content of your EDI transactions or the business relationships they represent.

Some features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis as selected by you. All fees are non-refundable except as required by applicable law or as expressly stated in these Terms. We reserve the right to change our pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
You retain all ownership rights to the data and EDI documents you upload to the Service. You grant x12port a limited license to process, store, and transmit that data solely as necessary to provide the Service. All software, interfaces, code, designs, and other technology comprising the x12port platform are the exclusive intellectual property of x12port. Nothing in these Terms grants you any rights to our trademarks, logos, or other brand assets.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, X12PORT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO X12PORT IN THE 12 MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless x12port and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.
We may suspend or terminate your account at any time for any reason, including if we reasonably believe you have violated these Terms or the Acceptable Use Policy. You may cancel your account at any time by contacting us. Upon termination, your right to access the Service ceases immediately. We may retain your data for up to 90 days after termination before deleting it, except where we are required by law to retain it longer.
We reserve the right to update these Terms at any time. We will notify you of material changes by email or by posting a notice within the Service. Continued use of the Service after any changes take effect constitutes your acceptance of the revised Terms.
These Terms are governed by the laws of the State of Missouri, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Missouri, and you consent to the personal jurisdiction of those courts.
